Terms of Service

These terms govern your use of snapfi.dev and the Snap private beta. By joining the waitlist or otherwise using snapfi.dev, you agree to them. If you don’t agree, please don’t sign up.
Please read sections 5 through 12 carefully. They contain important disclaimers, a no-chargeback commitment, liability limitations, and an indemnification obligation that affect your legal rights.
1. What Snap is
Snap provides single-use virtual payment cards designed to be issued and spent by AI agents. The product is currently in private beta, which means features may change, things may break, and we may add, remove, or replace functionality without notice as we learn what works.
Joining the waitlist does not guarantee you access. We grant access at our sole discretion as the beta scales, and we may withdraw access at any time.
2. Eligibility
You must be at least 18 years old, able to form a binding contract under the laws of your jurisdiction, and not subject to any sanctions, embargo, or export-control restriction imposed by the United States or any other jurisdiction that applies to you.
3. Your account
You are responsible for safeguarding your Snap account credentials, API keys, agent keys, and any other access tokens we issue to you. You must notify us immediately at security@snapfi.dev of any actual or suspected unauthorized use of your account.
You are responsible for all activity that occurs under your account or through any key issued to you, whether or not you authorized that activity, until you notify us of the compromise and we have had a reasonable opportunity to act.
4. Acceptable use
When using Snap or snapfi.dev, you agree not to:
- Use the service for any illegal purpose, including the purchase of goods or services that are illegal in your jurisdiction or in the jurisdiction of the merchant.
- Use the service in violation of any applicable sanctions, anti-money laundering, anti-terrorism financing, anti-bribery, or export-control law.
- Use the service to commit fraud, evade taxes, finance criminal activity, or process payments on behalf of any third party without our written permission.
- Attempt to disrupt, attack, scrape, reverse-engineer, or access non-public portions of our infrastructure or our providers’ infrastructure.
- Resell, sublicense, or redistribute Snap-issued cards, API access, or any other element of the service without our written permission.
- Impersonate another person or sign up using someone else’s identifying information.
- Submit automated traffic to forms intended for humans.
We may suspend or terminate access immediately for any actual or suspected violation, with or without notice.
5. Responsibility for spending
You are responsible for all charges made on your account, including any spending by AI agents, automated systems, or other software you grant access to Snap. Snap is not liable for any spending on your account — including, without limitation, charges resulting from agent error, compromised credentials, prompt injection, jailbreaks, runaway loops, configuration mistakes, or any other unintended behavior.
6. Chargebacks
Because you are responsible for all activity on your account, you agree not to initiate a chargeback, payment dispute, or reversal with your card issuer, bank, or any other party for any transaction authorized on your account, including transactions authorized by an agent, automated system, or other software acting on your behalf. If you have a concern about a charge, you must contact us first at disputes@snapfi.dev so we can investigate and resolve it directly.
If you initiate a chargeback or payment dispute in violation of this section, you remain responsible for the full disputed amount and will reimburse Snap for any chargeback fees, processing fees, network fines, administrative costs, and reasonable attorneys’ fees we incur in responding. Snap may suspend or terminate your account, offset any amount owed under this section against funds in your Snap account, and recover any remaining balance through any lawful means. These obligations survive the termination of these terms.
7. Beta disclaimer
Snap is provided “as is” and “as available”, without warranty of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, security, and uninterrupted or error-free operation.
We do not guarantee uptime, processing times, the success of any transaction, or that the product will work with any given merchant, network, agent framework, language model, or use case. You use the beta entirely at your own risk.
8. Third-party providers
Snap relies on third-party providers to operate, including (without limitation) issuing partners, payment processors, sponsor banks, card networks, hosting providers, and database providers. Charges made through Snap are processed and settled by these third parties under their own terms and timelines.
Snap is not responsible for the availability, performance, decisions, or actions of any third party, including but not limited to: card declines, holds, freezes, or account closures by an issuing partner, processor, bank, or network; disputes, chargebacks, or refunds initiated by merchants; outages, errors, or processing delays anywhere in the payment chain; and changes to third-party terms, policies, or pricing that affect Snap’s ability to deliver the service. If a third party in the payment chain is unable or unwilling to process a transaction, that transaction will fail and Snap has no obligation to provide an alternative.
9. AI-powered features
Some Snap features — including Sentinel and any other LLM-driven review, automation, or recommendation — depend on language models that may produce inaccurate, incomplete, biased, delayed, or unexpected output. AI features are provided as a best-effort safeguard, not as a guarantee. We do not warrant that any AI feature will catch every unwanted transaction, prevent every form of misuse, or make decisions consistent with your expectations.
You should not rely solely on Snap’s AI features for compliance, fraud prevention, or any other critical decision. Snap is not liable for any loss, damage, or unwanted spending that results from an AI feature’s output, omission, latency, or unavailability.
10. Indemnification
You agree to defend, indemnify, and hold harmless Snap, its affiliates, officers, employees, contractors, providers, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or connected with:
- Your use or misuse of Snap;
- Your violation of these terms or any applicable law;
- The activity of any AI agent, automated system, or other software you grant access to Snap, including any spending it authorizes;
- Any charge made on your account, including disputed, fraudulent, or unauthorized charges;
- Any claim by a merchant, payment partner, bank, network, regulator, or government authority arising out of your use of Snap.
This indemnification obligation survives the termination of these terms and your use of the service.
11. Limitation of liability
To the maximum extent permitted by law, Snap, its affiliates, and its third-party providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, business interruption, or any other intangible loss, arising out of or in connection with your use of the service, even if Snap has been advised of the possibility of such damages.
In no event will the total aggregate liability of Snap to you, for any cause whatsoever and regardless of the form of the action, exceed the greater of (a) the amount you have paid to Snap in the twelve (12) months preceding the event giving rise to the claim — which during the beta is zero — or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any such exclusion or limitation is held unenforceable, Snap’s liability shall be limited to the maximum extent permitted by applicable law.
12. Intellectual property
The Snap name, brand, logo, and all software, content, and design that make up snapfi.dev are owned by us. You may not copy, modify, or redistribute them without our written permission. No license is granted to you except the limited right to use the service in accordance with these terms.
13. Suspension and termination
We may suspend or terminate your access to Snap at any time, for any reason, with or without notice. Common reasons include violation of these terms, suspected fraud or misuse, a request from a third-party provider in the payment chain, a regulatory or legal requirement, or winding down the beta itself.
Upon termination, your right to use Snap ends immediately. The sections of these terms that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and intellectual property provisions — will continue to apply.
14. Changes to these terms
We may update these terms as the product evolves. Material changes will be announced by email to people on the waitlist before they take effect. Your continued use after the new terms take effect means you accept them.
15. Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms or your use of Snap will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts.
